Name of a Company-公司命名
Name of a Company:
(a) The name of a company must end with ‘Limited’ or ‘public limited company’ (or ‘Ltd’/‘plc’). The Welsh equivalents of the above may be used by a Welsh company.
(b) The name of a company must be approved by Registrar, who may refuse to register any name if:
The name is already in existence.
Its use would constitute a criminal offence.
It would be offensive.
It requires the permission of the Secretary of State (words such as king, royal).
(c) The full name of the company must be disclosed outside all places of business and on all business documents. Otherwise, the company secretary personally liable for default and constitutes a criminal offence.
(d) The name of the company can be changed by special resolution.
(e) The company may be forced to change its name if misleading information has been supplied or if the name is too similar to an existing company. The Companies Name Adjudicator will hear appeals from individuals and companies over similar names.
